Elutions Inc. failed to pay law firm Curtis, Mallet-Prevost, Colt & Mosle LLP more than 1 million pounds ($1,350,000) for tax, litigation, and corporate work it did over a span of six years, the firm says in a complaint filed in federal court in New York.
The Tampa, Fla.-based artificial and business intelligence provider is responsible for invoices under a contract its U.K. subsidiary Elutions Europe Holdings Ltd. entered into with Curtis, the firm alleges.
Elutions Europe allegedly racked up 1,585,564 pounds in legal services and costs from 2013 to 2019, but only paid 544,844 pounds—and made its payments irregularly. Some 1,040,720 pounds remains unpaid, along with 6% interest, according to the complaint filed Tuesday in the U.S. District Court for the Southern District of New York.
Curtis provided most of the legal services to Elutions directly, but the engagement agreement named Elutions Europe as the client and the business that undertook to pay invoices, according to the complaint. But Elutions Europe was dissolved in 2017 in a corporate restructuring, and Elutions denies that it’s bound by an arbitration agreement in the contract, the New York law firm says.
Causes of Action: Quantum meruit and unjust enrichment.
Relief: Monetary damages.
Response: Phone numbers for Elutions and its parent company, Engage Networks Inc., were out of service, and an email requesting comment bounced back.
