ANALYSIS: ESG Shareholder Proposals Up, Approvals Down

US companies included 608 shareholder proposals in their definitive proxy statements for 2024 annual meetings so far this year, making it another busy proxy season for shareholder proposals.

ESG-related proposals increased again this year, with more US companies including environment/climate, human capital, or DEI-related proposals in their definitive proxy statements than they did in all of 2023. The continued growth in these areas may be linked to uncertainty around future of disclosure obligations under SEC’s climate rule and future human capital rule.
