FTC Hikes Antitrust Merger Review Threshold to $119.5 Million

Companies pursuing mergers and acquisitions valued at or above $119.5 million will be subject to antitrust review by federal regulators, according to the Federal Trade Commission.

The federally required annual change to the agency’s reporting threshold, announced Monday, reflects shifting macroeconomic conditions and marks a jump from the previous value threshold of $111.4 million. The FTC or the Justice Department’s antitrust division assesses the impact on market competition for all transactions whose value meets or exceed the limit, as mandated by the Hart-Scott-Rodino Act.
