The widow of a supervising pharmacist/Class II member of Crossroads Healthcare Management, LLC isn’t entitled to continuing profit sharing distributions from the company even after his death, because his Class II membership in the LLC had no substantive meaning apart from his employment and his resignation from his position ended his membership, a federal court in New York ruled. A 2006 operating agreement did nothing more than give the pharmacist a profit sharing interest in the company, the court found, and his Class II membership in the LLC and his status as an employee were indistinguishable.
